Terms and Conditions

TERMS AND CONDITIONS (AFFILIATE PROGRAM)

Effective date: January 17, 2026
Program operator: DeskNeko (“we”, “us”, “our”).
Store/brand: DeskNeko (“Store”).

Affiliate/partner: You (“Affiliate”, “you”).

  1. Acceptance
    By applying to, accessing, or participating in our affiliate program (the “Program”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not participate.

  2. Eligibility
    You confirm that you are at least 18 years old and legally able to enter into contracts. If you are participating on behalf of a business, you confirm you have authority to bind that business.

  3. Enrollment and approval
    We may accept or reject any application at our discretion. We may request additional information to verify your identity, traffic sources, or compliance.

  4. Affiliate links, coupon codes, and attribution
    a) Tracking methods. We may attribute referrals using affiliate links, cookies, and/or affiliate coupon codes issued via UpPromote (or our systems).
    b) Cookie window. Referrals may be credited only if the customer purchases within the cookie duration configured in the Program at the time of the click.
    c) Coupon priority. If a coupon code is used, the order may be attributed based on the coupon rules set in the Program.
    d) Last/first click and conflicts. If multiple affiliates, ads, or coupons are involved, attribution will follow the Program’s tracking settings and anti-fraud checks.
    e) No double commissions. A single order can earn one commission unless we explicitly state otherwise in writing.

  5. Commission structure
    a) Rates. Commission rates, eligible products/collections, and special rules (e.g., new customer only, lifetime commission) are defined in the Program settings and may vary by affiliate or campaign.
    b) Eligible sales. Commissions are earned only on completed, paid orders that are not canceled, refunded, charged back, or flagged as fraudulent. Shipping, taxes, duties, and tips are excluded unless the Program explicitly includes them.
    c) Adjustments. We may adjust commissions for partial refunds, returns, coupon stacking, order edits, or errors.
    d) Self-referrals. Unless explicitly allowed, purchases made by you (or your household, employees, or company) through your own link/code are not commissionable.

  6. Pending period and approval
    a) Pending status. Commissions typically start as “Pending” while we review and while return/refund windows pass.
    b) Approval/denial. We may approve or deny commissions in our reasonable discretion, including for violations of these Terms or suspected fraud.
    c) Review timing. We aim to review within [X] days but do not guarantee a specific timeline.

  7. Payouts
    a) Payout methods. Payout options may include PayPal, Wise, store credit, or manual payments, depending on what we enable.
    b) Minimum threshold. We may require a minimum payable balance of €25 before payouts are issued.
    c) Schedule. Payouts are issued Monthly after approval, subject to holds for returns, chargebacks, fraud checks, or compliance reviews.
    d) Fees. Payment processors may charge fees (e.g., PayPal/Wise). Unless we state otherwise, you are responsible for your receiving fees and for providing accurate payout details.
    e) Taxes. You are responsible for any taxes on your earnings and for providing any required tax information or documentation upon request.

  8. Promotional guidelines and compliance
    You agree to promote the Store honestly and in compliance with all applicable laws and platform rules, including advertising, consumer protection, and data/privacy laws. This includes:
    a) Disclosure. You must clearly disclose affiliate relationships (e.g., “I may earn a commission”) wherever required (FTC, ASA, EU rules, etc.).
    b) No misleading claims. Do not make false, unsubstantiated, or exaggerated product claims. Do not imply medical or guaranteed results unless we provide approved claims in writing.
    c) No impersonation. Do not pose as the Store, our employees, or customer support.
    d) No spam. No unsolicited bulk email, messaging, or comment spam.
    e) Paid ads / bidding. Unless we explicitly allow it, you may not:

    • bid on our brand name or close variants as keywords,

    • use our brand in ad copy, domain names, social handles, or display URLs,

    • run ads that direct-link to our site using your affiliate link.
      f) Prohibited traffic. No incentivized traffic, click farms, bot traffic, misleading redirects, forced clicks, cookie stuffing, toolbars, adware, or malware.
      g) Coupon sites. If you operate a coupon/deal site, you must be pre-approved and follow our coupon rules (no posting private codes; no “leaked” codes).
      h) Social platforms. You must follow the platform’s rules (e.g., TikTok/Instagram/YouTube) and include disclosures.

  9. Intellectual property and brand assets
    a) Limited license. We may provide logos, images, and brand assets for the sole purpose of promoting the Store. You may not modify them materially without permission.
    b) Restrictions. You may not register or use our trademarks (or confusingly similar marks) in domain names, social handles, apps, or company names.
    c) Content. Unless we agree otherwise in writing, you own your original content. You grant us a non-exclusive right to repost your promotional content for marketing with attribution when feasible.

  10. Confidentiality
    Non-public information (e.g., upcoming launches, pricing rules, private discount codes, internal metrics) must be kept confidential unless we authorize disclosure.

  11. Term and termination
    a) Term. These Terms begin when you join and continue until terminated.
    b) Termination. Either party may terminate at any time. We may suspend or terminate immediately for suspected fraud or violations.
    c) Effect. Upon termination, you must stop using affiliate links/codes and remove brand assets. We may withhold unpaid commissions that are unapproved, fraudulent, or tied to violations.

  12. Limitation of liability
    To the maximum extent permitted by law, we are not liable for indirect or consequential losses (lost profits, revenue, data). Our total liability relating to the Program will not exceed the commissions paid to you in the [3] months prior to the event giving rise to the claim.

  13. Changes to the Program or Terms
    We may update the Program settings, commission rates, and these Terms at any time. Continued participation after changes means you accept the updated Terms.

  14. Governing law and disputes
    These Terms are governed by the laws of the Netherlands. Any disputes will be handled in the courts of the Netherlands, unless mandatory consumer/worker protections apply.

PRIVACY POLICY (AFFILIATE PROGRAM)

This Privacy Policy explains how DeskNeko (“we”, “us”) collects and uses personal data relating to affiliates/partners in our affiliate program.

  1. What data we collect
    We may collect the following categories of information from affiliates:
    a) Account and identity data: name, username, email, phone (optional), address (optional), business name, website/social links.
    b) Payout data: PayPal email, bank/Wise details (as provided), payout preferences, invoices/receipts (if applicable).
    c) Performance and tracking data: affiliate ID, referral links, coupon codes, clicks, attributed orders, commission amounts, timestamps, device/browser metadata (as provided by tracking), and basic fraud-prevention signals.
    d) Communications: messages you send to us and support requests.
    e) Compliance data: disclosures, promotional channels, and verification info if we need to confirm eligibility or prevent fraud.

  2. How we use the data
    We use affiliate data to:
    a) operate and administer the affiliate program,
    b) track referrals and calculate commissions,
    c) review, approve, and pay commissions,
    d) prevent fraud, abuse, and policy violations,
    e) communicate with you about your account and program updates,
    f) comply with legal, accounting, and tax obligations, and
    g) improve the program and reporting.

  3. Legal bases (where applicable, e.g., GDPR)
    We process your data because it is:
    a) necessary to perform a contract (running the program and paying commissions),
    b) necessary for our legitimate interests (fraud prevention, program improvement), and/or
    c) required to comply with legal obligations (tax/accounting).

  4. Sharing and disclosures
    We may share affiliate data with:
    a) Service providers that help us run the program (e.g., UpPromote, Shopify, analytics, email tools).
    b) Payment processors and banks to send payouts (e.g., PayPal, Wise), based on the payout method you choose.
    c) Professional advisors (accountants, auditors, legal counsel) as needed.
    d) Authorities if required by law or to protect our rights and users.
    We do not sell affiliate personal data.

  5. Cookies and tracking
    Affiliate links may use cookies and similar technologies to attribute referrals and prevent fraud. Cookie duration and attribution rules depend on program settings. Customers can often limit cookies via browser settings, which may affect attribution.

  6. Data retention
    We keep affiliate data as long as needed to operate the program, resolve disputes, prevent fraud, and comply with legal/accounting obligations. Typical retention is 7 after your last activity, unless a longer period is required by law.

  7. International transfers
    If you or our service providers are located outside your country, your data may be transferred internationally. Where required, we use appropriate safeguards (e.g., contractual protections).

  8. Your rights

    We take reasonable technical and organizational measures to protect affiliate data. No system is 100% secure; please keep your login details confidential.
